Legal Counsel – Corporate & Investment Banking & Business Banking

About the role

The Legal Counsel will support the Head of Legal at NBC by providing specialised legal advice to Business Units, focusing on Corporate & Investment Banking (CIB) and Business Banking (BB). The role involves identifying, assessing and managing legal risks across the bank’s operations.

Key responsibilities

• Understand and articulate the strategy and goals of the legal team and broader department.
• Provide up‑to‑date legal advice, opinions and research to Business Units on corporate and investment banking products, including debt and capital markets, trade finance, project finance, syndicated lending, structured finance, derivatives and securitisation.
• Draft, negotiate and review legal agreements, security documents and related contracts, ensuring adequate risk mitigation provisions.
• Support Business Units in meetings with other banks or clients, especially during negotiation deadlocks.
• Oversee perfection and registration of security interests in Tanzania and, when required, in other jurisdictions.
• Monitor compliance with the legal risk control framework and report breaches to the Head of Legal & Company Secretariat.
• Provide legal input on draft bills, regulatory documents and manage litigation or claims, including settlement negotiations.

• Ability to understand and communicate the legal risk control framework to business stakeholders.
• Strong judgment in assessing and mitigating legal risks.
