Head of Legal, Governance and Recovery

About the role

The Head of Legal, Governance and Recovery will lead corporate governance and legal functions for VisionFund Tanzania, a leading micro‑finance institution. Reporting to the CEO, the role ensures robust board processes, compliance with Tanzanian law and supports the recovery of non‑performing loans.

Key responsibilities

• Provide secretarial services for Board and Board Sub‑Committee meetings, including agenda preparation, meeting packs and minute taking.
• Ensure timely and accurate recording, distribution and follow‑up of minutes and decisions for shareholders, Board and committees.
• Maintain and update Board and Committee charters, terms of reference and corporate governance policies.
• Advise the Board and senior management on the Companies Act, corporate governance standards and related legal matters.
• Facilitate induction, orientation and ongoing education for directors.
• Oversee the legal aspects of non‑performing loan recovery, providing guidance to the recovery team.
• Coordinate board correspondence, compile reports and communicate decisions to relevant stakeholders and authorities.

Required profile

• Extensive experience in corporate legal advisory, board secretarial work and governance within the financial or micro‑finance sector.
• Strong knowledge of Tanzanian Companies Act and related regulatory framework.
• Proven ability to manage board processes, documentation and stakeholder communication.
• Excellent analytical, drafting and negotiation skills.
• High level of integrity and ability to work independently under senior leadership.
