Head of Legal, Governance and Recovery

About the role

VisionFund Tanzania, a leading micro‑finance institution, is seeking a senior professional to lead its legal, governance and loan‑recovery functions. Reporting to the CEO, the Head of Legal, Governance and Recovery will ensure robust corporate governance, provide expert legal advice, and oversee the recovery of non‑performing loans.

Key responsibilities

• Provide secretarial services for Board and Board Sub‑Committee meetings, including agenda preparation, minute taking and distribution.
• Ensure timely and accurate reporting of Board and Committee proceedings and communication of decisions to relevant stakeholders.
• Advise the Board and executive management on compliance with the Companies Act, corporate governance standards and related regulations.
• Maintain and update Board charters, terms of reference and governance policies.
• Facilitate induction, orientation and ongoing education for Directors.
• Oversee legal support for the recovery of non‑performing loans, coordinating with relevant departments.
• Prepare and manage Board secretarial correspondence, reports and compliance documentation.

Required profile

• Extensive experience in corporate governance, board secretariat functions and legal advisory within a financial institution.
• Strong knowledge of Tanzanian Companies Act and related regulatory frameworks.
• Proven ability to manage Board meetings, prepare comprehensive meeting packs and ensure accurate minute‑taking.
• Excellent communication skills to convey Board decisions and legal guidance to internal and external parties.
• Demonstrated experience in loan‑recovery processes and handling non‑performing assets.
