Head of Legal & Company Secretary

About the role

The Head of Legal & Company Secretary reports directly to the Chief Executive Officer and sits on FINCA Impact Finance’s Executive Committee. The role provides comprehensive legal advice to the bank’s management and Board, oversees legal risk, and ensures robust corporate governance across the organisation.

Key responsibilities

• Deliver strategic legal counsel to senior management and the Board of Directors.
• Manage all banking and financial regulatory matters, ensuring full compliance.
• Develop, implement and maintain internal policies, including employment and labour regulations.
• Oversee litigation, contract drafting, negotiation and management.
• Identify legal risks associated with operations and propose mitigation mechanisms.
• Act as Corporate Secretary, preparing board materials, maintaining corporate records and ensuring governance best‑practice.
• Promote a culture of integrity and transparency by enforcing the Code of Conduct and relevant laws.

Required profile

• Law degree with extensive experience in banking or financial services.
• Proven senior legal leadership, preferably within micro‑finance or similar sectors.
• Demonstrated expertise as a Company Secretary or in corporate governance.
• Strong ability to collaborate with senior executives and board members.
• High ethical standards and commitment to transparency.
